X GAMES INSURANCE REQUIREMENTS (COI)

• The certificate of insurance (COI) must meet the required limits, name all the entities as additionally insured as listed below, and include ALL DATES the vendor or the vendor’s equipment is on-site.

• NOTE: A COI must be on file with the X Games before credentials are issued or the vendor arrives on-site.

• Certificate of Insurance shall contain a provision or endorsement that the policy may not be canceled, terminated, changed or modified unless thirty (30) days written notice must be received and approved before any work is being performed.

• SPORTS CONTENT CREATION LLC, LLC IS NOT RESPONSIBLE FOR DAMAGE OR THEFT OF ANY EQUIPMENT ON-SITE DURING THE EVENT.

• Vendor shall, throughout the terms of their Service Agreement, and for the duration of the Event, maintain the following coverage based on the assigned tier below.

VENDOR COVERAGE TEIRS

Tier 1: This includes individual freelancers/contractors that are backend support staff. These individuals are brought on to support permanent x-games staff. They are likely behind the scenes and acting in a clerical capacity.

Tier 2: This includes vendors/contractors providing services with lower general liability risk and lower occupational hazard.These services include but are not limited to, Videographer/photographer, caterers/food trucks (non-alcoholic beverages), consultants, small booth sponsors, contractors with fees under 10k, etc.

Tier 3: This includes vendors/contractors that have more potential exposure/impact to the general public. Services including, without limitation to any production or site-related services or personnel, vital audio/video, production managers or staff, site managers or staff, caterers (including liquor and/or bartending staff), sponsors with experiential marketing at their booth, security, small freestanding structure installations, etc.

Tier 4: This includes vendors/contractors that are involved in the “closed to public”/private course design, set-up/take-down, and maintenance. Usage of mobile equipment is acceptable for licensed operators.

Tier 5: This includes vendors/contractors where services are an integral part of the event’s execution and impact public safety. Services include, but are not limited to structural design, rigging/staging, lighting, pyrotechnics/SFX, etc.

REQUIRED VERBIAGE, to be included in the “ DESCRIPTION OF OPERATIONS” section:

The Event, X Games Salt Lake City at Utah State Fairpark in Salt Lake City, Utah. Additional Insureds named as follows: Sports Content Creation LLC, its parent, related and affiliated companies and State Fair Park Authority dba/ Utah State Fairpark and their directors, officers, agents, servants, and employees, but only insofar as the operations under this Agreement are concerned (“Additional Insureds”). Service Provider’s policies shall be amended to state that their coverage primary and noncontributory to any insurance carried by the Additional Insureds and coverage must contain a waiver of subrogation in the favor of each entity listed above. The waiver of subrogation applies to all coverages. Notwithstanding anything to the contrary, X Games reserves the right to amend this Exhibit B from time to time in its sole discretion.
